ARTICLE 1 – PURPOSE

The purpose of these Terms of Use (hereinafter the “T&U”) is to define the terms and conditions of access to and use of the website https://gbclub2026.webflow.io (the “Website”) as well as the Greenbull Club community application (the “Application”) (collectively referred to as the “Platform”).

Any browsing of the Platform implies unreserved acceptance of these T&U. The creation of a user account (“Account”) and access to the reserved services (“Services”) are further subject to the express acceptance of these T&U by the member (“Member”) upon creation of said Account.

In the event of any conflict between these T&U and the Terms and Conditions of Sale (T&Cs), the T&Cs shall prevail for all matters relating to the order, payment, performance of paid services, invoicing, termination and refunds.

Terms defined in the T&Cs have the same meaning in these T&U when used with a capital letter.

ARTICLE 2 – ACCESS TO THE PLATFORM

The Platform is accessible:

Freely, for public consultation of the Website and the submission of an application;
Via the creation of an Account to access the Services reserved for Club Members.

The Publisher may suspend or interrupt access to all or part of the Platform for reasons of maintenance, security or legal requirements. Except in cases of emergency or legal obligation, any lasting interruption affecting the Services reserved for Members will be the subject of prior information by any appropriate means.

ARTICLE 3 – ACCOUNT CREATION

Access to the functionalities requires the creation of an Account, which takes place after acceptance of the application and payment of the Membership, under the conditions provided for in the Terms and Conditions of Sale.

The user (“User”) undertakes to provide accurate, complete and up-to-date information.

Any activity carried out via the Account is deemed to have been carried out by the holder User.

ARTICLE 4 – RULES OF USE

The User undertakes to:

Use the Platform in accordance with the law;
Not divert the Services from their purpose;
Not attempt to access computer systems without authorisation;
Not reproduce, distribute or exploit the content without authorisation;
Not share their access with third parties;
Respect the confidentiality of exchanges, opportunities and the identity of other Club Members.

Any fraudulent use may result in the suspension or deletion of the Account.

ARTICLE 5 – ABSENCE OF INVESTMENT ADVICE

The Platform offers a community space, technological tools and informational content. All information, data, analyses, charts, indicators, signals and other financial content made available via the Platform — whether generated automatically, produced by artificial intelligence or published by third parties — is provided for purely informational purposes.

None of the content available on the Platform constitutes, or may be interpreted as constituting:

Personalised or general investment advice, financial advice or trading recommendations;
A brokerage service;
An invitation, solicitation or recommendation to invest in, buy, sell or hold a financial instrument, a cryptocurrency or any asset;
Portfolio management;
A regulated investment service;
A guarantee of performance, return or future results of any kind whatsoever.

The Platform furthermore constitutes no activity of intermediation in miscellaneous assets, banking or financial canvassing, nor any public offering of financial securities.

The User remains solely responsible for their financial decisions.

Investment carries a high risk of capital loss. Past performance is not indicative of future results. The User is invited to seek independent professional advice before any financial decision.

ARTICLE 6 – ARYA WEALTH TOOL

ARYA Wealth is a tool offered to Members as part of the Services. Its use is governed by its own terms and conditions and its own privacy policy, to which the Member is invited to refer. It is recalled that ARYA Wealth provides no advice or personalised recommendation in investment, wealth, legal or tax matters, and that its projections and analyses are provided for purely illustrative purposes, without any guarantee of results.

ARTICLE 7 – ROLE OF FACILITATOR

The Publisher acts as a mere facilitator of connections. It is not a party to the exchanges, discussions, transactions, commitments or agreements, of any nature whatsoever, concluded between Members or between a Member and a third party in connection with the use of the Website and the Application, and does not guarantee any result.

ARTICLE 8 – AVAILABILITY AND TECHNICAL LIABILITY

The Publisher endeavours to ensure the availability of the Platform.

However, access may be temporarily suspended for maintenance, updates or in the event of an event beyond its control.

The Publisher does not guarantee the absence of errors, bugs or interruptions.

The User acknowledges using the Platform at their sole responsibility, without prejudice to the mandatory rights granted to Members who are consumers.

ARTICLE 9 – INTELLECTUAL PROPERTY

All the elements making up the Platform are protected by the laws relating to intellectual property.

Any unauthorised reproduction, distribution or exploitation is prohibited.

The User benefits solely from a personal, non-exclusive, non-transferable and revocable right to access this content and to use it solely within the framework of the subscribed Services and in accordance with these T&U.

Any reproduction, redistribution, publication, commercialisation or communication to third parties of the content generated by the Platform — in whole or in part, and by any means whatsoever — is strictly prohibited without the prior written consent of the Publisher.

ARTICLE 10 – USER-GENERATED CONTENT AND COMMUNITY

The Platform may include community features allowing Users to publish, share or exchange content, including without limitation messages, posts, comments, images, analyses and other elements (the “User Content”).

The User retains ownership of the User Content they create. By publishing User Content on the Platform, the User grants the Publisher a worldwide, non-exclusive and royalty-free licence to host, reproduce, display and distribute such Content solely within the framework of the operation, security and improvement of the Platform and the Services, for the duration of its publication. Any use for external communication or promotional purposes shall be subject to a separate agreement of the User. The deletion of User Content by its author terminates the licence, subject to technical backup copies.

The User warrants that:

They hold all the rights necessary to publish their User Content and to grant the licence therein;
Their User Content does not infringe the intellectual property rights, privacy rights or any other rights of third parties;
Their User Content does not constitute financial advice, investment recommendations or any form of regulated activity;
Their User Content complies with applicable laws and regulations and contains no unlawful, defamatory, misleading, abusive or harmful element.

It is furthermore prohibited to publish, within the community features, personalised investment recommendations, solicitations or canvassing, or to present a transaction as suited to the situation of another Member. Publications constitute the sharing of experience, on a personal and informational basis. The Publisher may remove any infringing content.

The Publisher does not endorse, verify or guarantee the accuracy or reliability of User Content. The views and opinions expressed by Users in the community features are those of their respective authors and do not reflect the position of the Publisher.

The Publisher may restrict access to, or remove, any User Content contrary to these T&U, applicable laws or the rights of third parties. Unless otherwise required by law, the User concerned is informed of the reasons for the measure, in accordance with Regulation (EU) 2022/2065.

The Publisher may not be held liable for User Content published on the Platform, nor for any loss, damage or consequence resulting from reliance placed on such content by other Users.

ARTICLE 11 – PERSONAL DATA

The use of the Platform involves the collection and processing of personal data.

The processing procedures are described in the Privacy Policy accessible on the Platform.

ARTICLE 12 – SUSPENSION OR DELETION OF THE ACCOUNT

Where the User is a Club Member, the suspension or deletion of the Account takes place under the conditions and in accordance with the procedure provided for in the Terms and Conditions of Sale.

The Publisher may in particular suspend or delete an Account in the event of:

Breach of these T&U;
Fraudulent conduct;
Infringement of the rights of the Publisher or third parties;
Legal obligation.

ARTICLE 13 – LINKS TO THIRD-PARTY WEBSITES

The Platform may contain links to third-party websites.

The Publisher may not be held liable for the content or operation of these websites.

ARTICLE 14 – REPORTING OF UNLAWFUL CONTENT

In accordance with Regulation (EU) 2022/2065 (Digital Services Act), any User may report content they consider unlawful to the Publisher at contact@greenbull.club. The Publisher acknowledges receipt of the report, processes it diligently and may remove or disable access to any unlawful content or content contrary to these T&U. A point of contact is made available at this same address.

ARTICLE 15 – MODIFICATION OF THE T&U

The Publisher reserves the right to modify these T&U at any time.

Users will be subject to the version in force at the time of their use of the Platform. Substantial modifications are brought to the attention of Members by any appropriate means before their entry into force. Failing acceptance, the Member may cease using the Platform, without this affecting the rights acquired under their Membership.

ARTICLE 16 – GOVERNING LAW

These T&U are governed by the law of the United Arab Emirates.

However, Users residing in the European Union benefit from the mandatory consumer protection provisions applicable in their country of residence, which prevail in the event of conflict.
